Welcome to wellvyl. These Terms of Service (the "Terms") are an agreement between you and Wellvyl PBC, together with its subsidiary public benefit companies (collectively, "wellvyl", "we", "us"), and they govern your use of our sites, apps, and services — wellvyl.com, app.wellvyl.com, tickets.wellvyl.com, partners.wellvyl.com, and related wellvyl subdomains (together, the "Services"). By creating an account, buying anything, or using the Services, you agree to these Terms and to our Privacy Policy.

We are a public benefit company built around real-world connection and kindness. These Terms exist to keep the community and the platform safe and fair — we've tried to write them like humans.

1. Who can use wellvyl

You must be at least 21 years old to create an account. You agree to give us accurate information, keep your sign-in credentials to yourself, and use one account per person. You're responsible for what happens under your account; tell us right away if you think it's been compromised.

2. Membership

• Joining. Most memberships you can start right away — you join, pay, and you're in, and your membership is confirmed over your first weeks as you get to know the community and we get to know you. Some paths in — complimentary Charter offers, referrals, and the Founders Circle — go through an application first, and where noted a conversation with us; for those we review and may accept, decline, or ask for more, and any references you provide may be contacted. Either way, membership decisions are ours to make, and we may end a membership we're unable to confirm during that early welcome period (see the Refund Policy).
• Tiers and billing. Paid memberships are subscriptions billed on the schedule shown at checkout. You can change tiers or cancel from Billing in the member app or by emailing [email protected]. When you change tiers, we make sure you're never double-billed for overlapping periods. Cancellation and refunds are covered by our Refund Policy — one set of rules, kept in one place.
• Complimentary memberships. Comped or promotional memberships (charter offers, referral rewards, and similar) are gifts, not purchases — they carry no cash value, end on their stated schedule, and may be modified or withdrawn if these Terms are violated.
• Founding memberships. Founders Circle lifetime memberships are one-time arrangements made directly with wellvyl and may carry supplemental written terms; those terms control where they differ from this section.

3. Community standards

wellvyl exists for kindness and real connection. You agree not to harass, threaten, or demean anyone; not to post unlawful or infringing content; not to misuse member information (what you learn about members here stays here — no scraping, exporting, or marketing to members outside the Services); and not to interfere with the Services' operation or security. We may remove content, restrict features, suspend, or end accounts that put the community at risk — with a bias toward talking to people first, and immediate action when safety requires it.

4. Events and tickets

For attendees. Event listings are created by their producers, and producers run their events — dates, venues, admission, and conduct at the event are the producer's responsibility. Ticket prices and any service or RSVP fees are shown before you pay. Refunds work as described in the Refund Policy: face-value refunds are available until the event starts; service and RSVP fees are non-refundable. Producers can see the attendee information needed to run their event, and may contact you afterward only if you opted in at checkout.

For producers. If you list events, you agree that your listings are accurate and lawful, that you'll honor the published refund rules (refunds are funded from your event proceeds), and that you're responsible for delivering the event and complying with venue, safety, and tax obligations. Payouts are made through our payment partner's connected-account program under its own agreement; wellvyl's platform fees are disclosed in your producer dashboard. We may remove listings or suspend producer access for violations, fraud risk, or member-safety concerns.

5. Shop

Shop items are made to order for you. Because of that, sizing and change-of-mind returns aren't available — but misprinted, damaged, or defective items are always made right, as described in the Refund Policy. Questions: [email protected].

6. Partners

Fitness and wellness partners use partners.wellvyl.com under these Terms plus any separate partner agreement they sign with us; where a signed partner agreement differs from these Terms, the partner agreement controls for that relationship. Partner listings in member-facing surfaces must stay accurate; we curate what appears to members.

7. Your content

You own what you post — profile details, photos, videos, event media, messages. You give wellvyl a non-exclusive license to host, display, and share that content within the Services and in how the Services are presented (for example, your profile appearing to other members, or an event photo on the event page), for as long as it's on the platform. Don't post content you don't have rights to. The wellvyl name, logo, and the Services themselves are ours; these Terms don't give you rights in them.

8. Third-party services

Payments run on Stripe; email on Mailchimp; media and delivery on Cloudflare; hosting on Vercel; optional sign-in through identity providers like Google. Your use of those services is also subject to their terms, and we're not responsible for third-party services we don't control.

9. Disclaimers and limits

The Services are provided "as is." To the fullest extent the law allows, wellvyl disclaims implied warranties and is not liable for indirect, incidental, or consequential damages, and our total liability for any claim is limited to the greater of the amount you paid us in the twelve months before the claim or $100. Events involve real-world activity — participation is at your own risk, and producers, venues, and attendees are responsible for their own conduct. Nothing here limits liability that cannot lawfully be limited.

10. Our public benefit status

Wellvyl PBC and its subsidiaries are public benefit companies. Our stated public benefit purpose guides how we operate but does not create rights or obligations enforceable by users under these Terms.

11. Contracting entity

Your agreement is with Wellvyl PBC unless a specific Service identifies one of its subsidiary public benefit companies as the provider for that Service. Customer-facing branding is WELLVYL PBC throughout, and your rights under these Terms are the same either way.

12. Changes, termination, and law

We may update these Terms; for material changes we'll update the effective date and notify members. You can close your account any time. We can suspend or end accounts as described in Section 3, and sections that by their nature survive (your content license while content remains, disclaimers, governing law) survive termination. These Terms are governed by the laws of New York, and disputes will be resolved in the courts located there.
